We do not sign NDA's. We receive a large number of business plans, many of which have similar models. Because of this, signing NDA's would restrict our choice of investments. Our reputation depends on our professionalism and our ability to maintain the trust of the entrepreneurs with whom we work. We will take care to keep your materials confidential.

VentureVest does not serve as a middleman, facilitator, or counselor, either for Companies Seeking Capital or for Angel Investors.

Participating entrepreneurs joining the VentureVest Companies Seeking Capital network are herein referred to as Companies Seeking Capital. VentureVest network agreements and terms are between VentureVest and Companies Seeking Capital. VentureVest makes no representations, assurances, or guarantees that Companies Seeking capital will be matched to Angel Investors.

VentureVest has not and will not investigate or verify the information provided by Companies Seeking Capital or potential investors, and has not and will not solicit any character or credit references respecting Companies Seeking Capital or Investors. Therefore, VentureVest makes no representations or warranties regarding the truth, accuracy or completeness of any information provided by Companies Seeking Capital or potential investors. It is the responsibility of Companies Seeking Capital to negotiate his or her own financial transactions and arrangements with any Angel Investor and to evaluate any prospective investor's financial condition and integrity. Companies Seeking Capital are encouraged to seek legal and other professional counsel prior to entering into any transactions with prospective investors to ensure compliance with all federal and state laws.

VentureVest is not a securities broker-dealer or investment advisor and is not registered as such with the Securities and Exchange Commission or with the securities departments of any state. This service does not constitute an undertaking by VentureVest (and any of its subsidiaries, affiliates, employees, agents, third party content providers, assignees, licensor (and their respective directors, officers, employees, authorized representatives, and agents) to offer for sale or to sell any securities or other interest of Companies Seeking Capital.

VentureVest may have agreements with some companies listed on this website and may receive compensation for consulting, promotional or public relations services, web site development, finders fees and other services. VentureVest may receive compensation in cash or stock and may invest directly in any company listed herein.

AGREEMENT
Companies Seeking Capital agree to provide truthful, accurate and complete information to VentureVest and to comply with all applicable state and federal laws. Companies Seeking Capital further agree to fully indemnify defend and hold harmless VentureVest, (and any of its subsidiaries, affiliates, employees, agents, third party content providers, assignees, licensor (and their respective directors, officers, employees, authorized representatives, and agents) from any claims arising out of participation of the VentureVest Network.

Companies Seeking Capital assume sole responsibility for content submitted to VentureVest and agrees to protect and indemnify VentureVest, (and any of its subsidiaries, affiliates, employees, authorized representatives, and agents) against any and all liability, loss of expense arising out of claims for libel, unfair trade practices, deception, competition, infringement of trademarks, names or patents, copyrights and proprietary rights and all violations of the right to privacy resulting from the submissions to VentureVest.

VentureVest shall not be liable for any damages or related expenses resulting from errors, omissions, or non-submissions including but not limited to incidental, consequential, special, general, punitive damages or lost profits.

This service does not constitute an undertaking to sell any investment interests in Companies Seeking Capital's ventures or enterprises. Any investment resulting from use of VentureVest's network and web site shall be negotiated basis between Companies Seeking Capital and prospective investor(s) without participation by or compensation, or remuneration to the VentureVest Network.

VentureVest shall not be liable for failure to provide service if failure is due to circumstance beyond VentureVest's control.

At its sole discretion, VentureVest may amend, modify, discontinue, or cancel, without notice, any or all provisions of this agreement.

VentureVest may elect not to list any company that it deems inappropriate for this site or investors. VentureVest may discontinue service to any Company Seeking Capital at any time, for any reason, without explanation or justification. VentureVest will pro rate any fees paid by the Company Seeking Capital, if VentureVest discontinues service, unless the service is discontinued at the request of the Company Seeking Capital.
