Phil E. Ray - President, Director
Mr. Ray is a business consultant assisting companies with advertising, marketing, mergers and acquisitions and strategic planning. Primary concentration has been on companies preparing for private placements or an Initial Public Offering. Mr. Ray was Assistant Manager of Howlett Distributing in Las Vegas, Nevada prior to founding his own advertising business in 1958. From 1958 until 1971, Mr. Ray served as owner and president of Advertising Productions of Nevada, Inc. an advertising service and Phil E. Ray & Associates, a full service advertising agency. Relocating in Colorado in 1971, in 1972, Mr. Ray founded and served as President and Chairman of the Board of Electromedics, Inc. a Colorado corporation specializing in medical products. Electromedics Inc. became a public company in 1974 through an initial public offering. Electromedics continued to grow into a company with diversified products in the medical, industrial and consumer products. Mr. Ray acquired the consumer division of Electromedics in 1981, set up a new company and eventually merged that company with a public company. Mr. Ray served as president of Zytech Industries, Inc., a small public company from 1986 to 1990. And from 1994 to the present has served as president and sole owner of American Business Services, Inc., a business consulting company and spends full time consulting with companies. Mr. Ray has had extensive experience in management of public and non-public companies, developing national marketing programs, advertising and publications, product development, investor relations, public offerings, corporate development, business plan development, financing strategies for developing companies and many other areas of corporate development and management.

James E. Kitchel - Vice President - Director
Mr. Kitchel, is founder and President of Bonnevest Corporation, a private venture fund in operation since 1987. He has a twenty five year history as a business founder, venture capitalist, national speaker on capital formation and entrepreneurship, and financial advisor to private companies structuring to go public. He has assisted numerous start-up companies, including three companies of his own, from development stages through successful public offerings. As an experienced venture capitalist he has managed a multi-million dollar portfolio which has given him a keen understanding in balancing the needs of the investee client with the needs of the shareholders and the financial community. He serves on the board of directors of several companies, including MedFund Partners, LLC, a venture fund, Health Venture Partners, LLC, a venture fund. It is possible that VentureVest may invest in companies that Mr. Kitchel is either a stockholder and/or is on the board of directors of the company one of the venture funds that Mr. Kitchel is an officer or director or part owner of which has invested in a company that VentureVest might invest in.
