VentureVest Capital Corporation has set certain goals and objectives for the Company which are three-fold:

    (1) To develop and maintain a program for bringing Angel Investors and Entrepreneurs together. The program consists of our web site, participation in Venture Forums throughout the United States, educational clinics and workshops, mailings of educational materials and numerous other programs.

    (2) To achieve long term capital appreciation by making capital investments or some other form of financing, such as bridge loans, to companies ("Investee
Companies"), and assisting those companies, whenever possible, to achieve a public offering of their common stock or the sale of the company.

    (3) To offer the Investee Companies and other client companies (companies for which VentureVest may not make an investment) a broad variety of services which, through the Company staff, advisors and associates, will assist those companies in being successful in achieving their corporate goals and objectives.

VentureVest Capital Corporation is a full service venture capital firm providing equity financing to small and emerging companies through direct equity and/or debt investments. In addition to direct investments, the Company can provide financial assistance to companies through private placements, "Angel" investors, public offerings, debt financing, mergers and acquisitions and other creative financing strategies.

Unlike the typical venture capital company, VentureVest has full support services, thus being in a unique position to assist not only it's own portfolio companies and help insure a substantial return on the investment in that company, but also to assist all other companies, whether large or small, public or not public, with numerous specialty services. VentureVest has assembled a strong and experienced staff, advisors and associates with the knowledge and experience to provide a variety of unique services to assist companies in achieving their corporate goals. The officers, staff, advisors and associates to the Company have broad expertise in the development and management of
companies, from concept to large public corporations.

Under the direction of Phil E. Ray, the Company staff along with advisors and associates are prepared to offer portfolio companies and other client companies a variety of professional service. Mr. Ray's background includes founding and serving as president and chairman-of-the board of a national medical products company for 14 years, owning and operating a full service advertising agency for another 14 years, and business consulting for 10 years. Mr. Ray has extensive experience in advertising, marketing, business management and public relations, in both private and public companies.

The experience of those involved with the Company include overall corporate management, taking companies public, financial and shareholder relations, advertising and marketing, sales, public relations, corporate finance and mergers and acquisitions.
